Deputies of Gulbene district have come to a decision on starting the reorganization of SIA “AP Kaudzītes” by joining SIA “ZAAO”.

This is a logical continuation of the decision of the deputies some time ago, approving the Vidzeme regional waste management plan for the period from 2023 to 2027 – explained Andis Caunītis, the chairman of the county council, while leading the meeting of the finance committee on March 21. At the March 28 meeting of the county council, a positive final decision was also taken on this matter.

Deputy Guna Pūcīte asked whether the adoption of such a decision would in any way affect the residents of the county, who are clients of the waste management company SIA “Lautus vide”. Gints Kukainis, chairman of the board of SIA “ZAAO”, answered – this decision does not change anything for the residents. “Waste collection is a different kind of business,” he explained.

G. Kukainis also informed that other interested municipalities have already made positive decisions regarding the addition of SIA “AP Kaudzītes” to SIA “ZAAO”.

It is expected that after the merger, both G. Kukainis and Ārts Kuplais, who is a member of the board of SIA “AP Kaudzītes”, will continue to be on the board of the company.

Historically, there were ten waste management regions in Latvia. With the entry into force of the new Waste Management Law, the transition to five waste management regions is ensured.

Vidzeme is included in one region with two waste landfills – “Kauzzīte” in Litene and “Daibi” in Stalbe of Cēsu county. One or more waste management centers will be built in Vidzeme. Probably one, though.

All municipalities of Vidzeme will sit at the negotiating table on the application of a unified waste management strategy and a coordinated investment attraction policy. In the future, the boundaries of waste transfer will be viewed more broadly – within the entire Vidzeme region.

G. Kukainis stated that the share capital of SIA “ZAAO” is 3,252,078 euros and the balance sheet value is 22,001,070 euros, while SIA “AP Kaudzites” has 706,681 euros and 3,094,835 euros, respectively. Speaking about the structure of owners in both companies, G. Kukainis drew attention to the need to ensure that during the reorganization process the distribution of ownership of capital shares would be fair. It is expected that in the process of the merger of two companies, the proportion of shares belonging to all owners of capital shares – municipalities, will decrease, with the exception of the municipality of Balvu district, which already owns capital shares of both SIA “ZAAO” and SIA “AP Kaudzītes”. The share of capital shares of Balvu county municipality will increase due to the merger of two companies.

It has been agreed that none of the 11 municipalities that will potentially be co-owners in the merger process of the two companies will have a decisive influence. These municipalities are the municipalities of Gulbene, Alūksne, Balva, Cēsi, Limbaži, Saulkrasti, Smiltene, Valka, Valmiera, Madona and Sigulda counties.

G. Kukainis also expressed that it is planned to work in such a way that the owners – local governments should not undertake to guarantee loans for the development of the company.

As a basis for the development of waste management in Vidzeme, G. Kukainis emphasized compliance with environmental requirements. Speaking about the “Kauzzites” landfill in Litene, he said, it will be important to ensure the availability of this facility at all times, in any weather conditions. So it’s about the approach. G. Kukainis plans to solve this issue in cooperation with the municipality of Gulbene region.
