Dear Sirs, we would like to tell you how money was swindled from the “Zemgale Health Center” (ZVC) for 20 years with the blessing of the ZZS party. As well as the fact that right now, with the support of ZZS, the minority shareholders are trying to “privatize” the regional health center at a price they have influenced, or a sandwich. We would like to add that this is the real reason for the “erotic” scandal of Jelgava district leader Lasmanis (members of our association published that video, this is not an article in defense of Lasmanis, he is a vile, hypocritical political businessman, there will be articles about him another time). Before we tell you how and why this happened, we want to tell you some facts.

1. 88% of the shares (capital shares) of the health center belong to Jelgava county. ZVC is without a doubt the property of county taxpayers. In 20 years, the residents of Jelgava region did not receive any benefit from this property, Jelgava region did not even receive a single penny from this property. 20 years ago, the only owner of the health center was the municipality.

2. Since 2004, the only members of the board have been Gundars Prolis and Mārīte Sproģe. Who are also mother and son. In 2022, Gundars received EUR 81,000 in wages, Mārite EUR 75,000. They are one of the rare (if not the only) state officials in Latvia who can decide on their own salary increases, bonus payments, etc. Gundars also works in two medical institutions in Jurmala and earns not worse.

3. The remaining 12% belongs to the company “Capital management systems SIA”, whose board member is another Prolis, son of ZVC board member Gundars Prolis. This year, this company became a limited liability company and is owned by two other companies.

A) Limited liability company “Manas Mājas Saimnieks”, 40003681225. This company belongs to Ugis Černaj, which is a “shell” company with 890,000 EUR in debt, 0 employees. With the last 3 years of income from activity (not profit) in 2023 EUR 1400, in 2022 EUR 430, in 2021 EUR 400. The average homeless person in Jelgava earns more from collecting bottles than this company. Currently, the owner of the shell company is Uģis Černajs, who seems to have been hiding for a long time behind other persons and other companies – SIA “SBMB”, SIA “Hudsona nams”. In the public space, there are news about a person’s connection with the former state controller Raiti Chernaj and the Vidzeme market scandal.

B) SIA “ELVIS M”, owned by Gundars Proli and Andris Glāzītis. In 2003, the woodworking company “ELVIS M” is bought by a 19-year-old young man, Jānis Čakste, the company turns into a hospital operator. It is believed that Andris Glāzītis did not skimp on advice for his nephew Jānis. It seems that Jānis got tired of listening to advice, and Gundars Prolis and Andris Glāzītis became the owners of SIA “ELVIS M” on September 13, 2006. A few years after concluding the lucrative contract, Jānis Čakste decided to get rid of the company, and it ended up in the possession of Gundars Proļs and Andras Glāzīš. The transaction cannot be found in the declarations of the official of Gundars Prolis.

3. At the meeting of the Jelgava County Council on March 21, 2024, it was not possible to find a person who had seen the expense and income reports of the company belonging to the county. And that seems to have been the case for 20 years, the county has not submitted a full report of expenses/income, no one in the county knows what Prolis and his mother have done with the property of the county, what they bought, at what price, why, etc.

4. ZVC officials (Gundars Prolis) have made changes in the ZVC statutes, which oblige Jelgava region to sell ZVC to the minority shareholder (Gundars Prolis) at a price set by an appraiser, instead of a fair price at an auction. It turns out that the buyer who has the right of first refusal affects the price of the transaction. By the way, the restriction of the Conflict of Interest Law for the shareholder’s representative PROHIBITS him from acquiring capital shares of the capital company for three years after fulfilling his duties.

There is an active campaign to legitimize this scheme. Perhaps this “washing campaign” was also paid for by health center patients and county taxpayers.

5. For 20 years, all these schemes and profit-making activities have taken place with the political protection of ZZS politicians Ziedoņas Caunes (his health worsened, he went to other hunting grounds, not expecting to be behind bars), Līgas Lonertes (the executive director of the county) and many other ZZS deputies. Even now, it looks like the people associated with ZZS are conducting a PR campaign to allow the Proli family to “privatize” Jelgava county property for a sandwich and hide all the schemes that have been going on for 20 years.

6. The worst scenario that can happen to ZZS politicians is that the county (society) receives a report of all expenses/incomes, which would show schemes and “recaps” for 20 years. Therefore, ZZS wants ZVC to “privatize” Proli’s family and friends as a sandwich and all the evidence disappears.

7. The residents of Jelgava region have paid at least EUR 789,152 in advance payments to the company of the Proli family and friends for the “rent” of their property from themselves (which is theoretically not even possible). It is possible that the advance paid will have to be returned.

8. There are rumors that the minority shareholders are represented by the same legal office that previously represented the interests of the county, the interests of the hunter and participated in the maintenance of this scheme for many years:

9. At the moment, there is a fight in the county council – which political groups will receive board member seats in the ZVC (and grand salaries).

How did the county get into a situation where two officials have completely taken over the county’s property and treat it as if it were their own pocket?

20 years ago (in 2003), the district council concluded a concession agreement with the newly founded “Capital Management Systems” (hereinafter – KPS) for the ZVC (at that time – Jelgava District Hospital) with an annual payment of up to 10% of the turnover to the municipality capital company.

The amount of payment is set “up to”, you can also not pay, but thousands of EUR have been paid in advance for decades without receiving anything in return. ZVC does not have to give discounts to the residents of the county, it does not have to pay dividends to the county. There is absolutely nothing to be done that would bring any benefit to the residents of the county.

KPS does not have to pay the county for the rent of premises, land, on the contrary, the county pays “KPS” for its land, its resources, etc., which is complete absurdity, nonsense and uneconomic behavior on the part of the county. Prolis & Co created an agreement by which KPS can decide for themselves how to deal with property, decide their own salaries, pay for their own trips, training, appoint relatives and friends, buy goods and services from their relatives and friends, and ZZS people ( ZVC’s accountant is a member of ZZS (former?), who was a long-term member of the board of the utility company of the county controlled by ZZS. KPS does not have to provide (has not provided) complete reports on expenses, their justification.

How did state officials illegally obtain 12% of the property shares of the county, in which they themselves were officials?

We remind you that Prolis and the company under his influence is a public official who is prohibited from owning the property of the organization he “supervises”. The company is an official, because the company performs the tasks that only an official is entitled to perform.

Briefly: KPS attracted a tenant of ZVC, but presented the money invested by the tenant in the repair of the premises as their own and defrauded 12% of the county’s property. This scheme went something like this (we remind you that KPS has not submitted the full expenditure/expenditure reports).

“Page 20 of the ZVC 2004 annual report. it is indicated – renovation investment in the premises of SIA “Dialīzes centrs”, act on the transfer and acceptance of the investments made and attracted by the concessionaire SIA “Dialīzes centrs”, page 4 of the 2004 annual report. it is indicated that the received loan was invested in the renovation of the rented hospital premises at 15 Zemgales prospekt in Jelgava, 12.lp. the cost of renovation of the premises is indicated in the amount of LVL 59,900, and on page 14, the long-term lender – “Dializes centras” can be identified. This ZVC 2004 report has been signed by ZVC board members Mārīte Sproģe and Gundars Prolis.

The information provided in the annual report shows that SIA “Dialyzes centrs” has concluded a lease agreement with ZVC and has repaired the leased premises. PS KPS has ordered the repair of the premises performed by the lessee for its investments in ZVC’s share capital and has not in any way paid for the new capital shares with money (or any other investments), as provided for in the first part of Article 131 of the Law “On State and Local Government Capital Shares and Capital Companies” Clause 1 and Clause 3 of the first part of Article 132, as well as the references to the norms of external regulatory acts contained in Clause 3.1 of the regulation on increasing the share capital of September 8, 2005. The only income of PS KPS from economic activity is ZVC payments of LVL 7202, share capital of LVL 2000 and borrowings of LVL 3616, so there are no funds to invest LVL 59,900. The representative of the shareholder and ZVC board members should evaluate very critically – the possibility of PS KPS to invest LVL 59,900 However, this action has not been followed, because PS KPS fulfills the duties of the representative of the ZVC shareholder and the real beneficiary of PS KPS is ZVC board member Gundars Prolis, the other board member is his mother Mārīte Sproģe.

KPS physically had no money to invest. The amounts invested by the Dialysis Center are exactly the same as those allegedly invested by Prolis with his friends.

Therefore, the negligence, inactivity, personal interest of ZVC board members can be recorded, as a result of which illegal preparation of the rules for increasing the share capital was allowed, as a result of which KPS, whose only source of income is ZVC payments, acquires ZVC capital shares without making investments. How did the ZZS party in power in the county and its executive director Līga Lonerte defend and defend this planning of the county’s property.

Lonerte has been involved in supporting this scheme since at least 2010. There are many more votes after that, but to not bore you, we will only put the first one.

Question 31 of the agenda of the council meeting of August 25, 2010 “On determining the amount of compensation for the concessionaire of PS “Capital management systems” The decision was supported, i.e. voted for – Ziedonis Caune, Edgars Turks, Uldis Reinbergs, Sandra Viniarska, Aivars Naglis, Vitalijs Jakovels, Aigars Strupulis, Ginta Avotiņa, Aija Tračumas, Ilze Vītola, Jānis Kaptjuhs, Līga Lonerte, Inta Savicka, Rita Čigāne, Jānis Kalvinņš, Juris Lavenieks. Determine the compensation to be paid in advance to the concessionaire PS “Capital Management Systems” in 2010 for the management of concession resources in the amount of 2% (two percent) of the actual net turnover amount of the limited liability company “Jelgava District Hospital” in 2009 (Ls 1133461), that is Ls 22669. The compensation shall be paid from the funds of the limited liability company “Zemgale health center”.

The executive director of the municipality of Jelgava region, Līga Lonerte, has been appointed to the position on 31.01.2018. the decision of the council meeting and perform the duties of the executive director from February 1, 2018.

During this period of time, the Jelgava County Council has made decisions on payments from the municipal capital company ZVC funds to the PS KPS for the duties that must be performed by the municipal officials (council chairman or executive director) according to the regulations (laws). In the minutes of council meetings, the executive director of the municipality, Līga Lonerte, is indicated as present at the council meeting

27.07.2022. council meeting No. 29, agenda item No. 40, amount to be paid EUR 84,947.78; 26.05.2021 council meeting No. 8, agenda item No. 18, amount to be paid EUR 71,365.79; 27.05.2020 council meeting No. 11, agenda item No. 12, amount to be paid EUR 66,783.66; 31.07.2019 council meeting No. 13, agenda item No. 33, amount to be paid EUR 57,586.14; 27.06.2018 council meeting No. 8, agenda item No. 22, the amount to be paid is EUR 49,457.84.

Thus, not only ZZS is involved in this scheme, but also Līga Lonerte itself, by not fulfilling its duties, is personally responsible for this scheme of defrauding the county.
